Primary Duties and Responsibilities

• Preparing documentation for basic corporate transactions, including incorporations, annual maintenance, changes to directors, change of name, amalgamations and dissolutions
• Prepare and review contract documents such as non-disclosure agreements, statements of work, etc. arising from the needs of internal clients
• Conducting comprehensive due diligence searches (including statutory liens, municipal, zoning and environmental)
• Drafting of standard form loan and security documents, officer’s certificates and various ancillary documentation
• Registration of security and other notices and filings (whether electronic or otherwise) with the Land Title Office, Personal Property Registry and other registries
• Conducting title and other real property searches with respect to financial or other encumbrances registered against title (including, for example, builders’ liens)
• Conducting various corporate, securities and due diligence searches
• Review of legal and corporate documents and compose professional correspondence
• Managing and completing corporate transactions
• Implement processes and office systems to maintain legal and business records
• Conduct legal research
• Prepare billings for all work performed
• Undertake special projects as required

Qualifications

• High School Diploma
• Completion of a certificate or diploma program for Paralegal or Law Clerk or equivalent combination of education and work experience
• Basic Corporate, Civil & Contract law experience
• General Registries Certification an asset
• Level One CORES an asset


Knowledge, skills and abilities

• Intermediate computer skills
• Knowledge of applicable Registry applications and systems
• Proficiency in word processing and related software packages
• Excellent written and oral skills and ability to work cooperatively
• Superior organization and follow-up skills and high attention to detail
• Ability to manage multiple priorities, schedule and carry out tasks independently to meet deadlines
• English: Fluent

Experience:

Minimum 1 year experience in an office setting
